Mixcraft 10 EULA

END-USER LICENSE AGREEMENT FOR Mixcraft 10.

END-USER LICENSE AGREEMENT FOR Mixcraft.

Last updated: October 2026

IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL: This Acoustica, Inc. End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Acoustica, Inc. for the version and edition of Mixcraft with which this EULA is provided (including a trial or evaluation version), which may include associated software components, media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and Acoustica, Inc., and it supersedes any prior proposal, representation, or understanding between the parties, but it does not replace any separate license terms that Section 5 says govern specific sounds or other content, or the terms of sale, refund terms or privacy terms that apply to your purchase. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT.

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE.

The SOFTWARE PRODUCT is licensed as follows:

(a) Installation and Use.

Acoustica, Inc. grants you the right to install and use copies of the SOFTWARE PRODUCT on your computer running a validly licensed copy of the operating system for which the SOFTWARE PRODUCT was designed [e.g., Microsoft Windows].

(b) Backup Copies.

You may also make copies of the SOFTWARE PRODUCT as may be necessary for backup and archival purposes.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

(a) Maintenance of Copyright Notices.

You must not remove or alter any copyright notices on any and all copies of the SOFTWARE PRODUCT.

(b) Distribution.

You may not distribute registered copies of the SOFTWARE PRODUCT to third parties, except that where applicable law gives you a right to do so despite this EULA (for example in the European Union), you may transfer your whole license and your copy to one other person who agrees to this EULA, if you delete or make unusable all of your own copies, other than Sound Content as part of Your Works; the license in Section 5 continues for Your Works you made before the transfer. Evaluation versions available for download from Acoustica, Inc.'s websites may be freely distributed.

(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly.

You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

(d) Rental.

You may not rent, lease, or lend the SOFTWARE PRODUCT.

(e) Support Services.

Acoustica, Inc. may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA.

(f) Compliance with Applicable Laws.

You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT, including export control and sanctions laws.

3. TERMINATION

Without prejudice to any other rights, Acoustica, Inc. may terminate this EULA if you materially breach it and do not remedy the breach within 30 days after Acoustica, Inc. gives you written notice of the breach. In such event, you must stop using and destroy all copies of the SOFTWARE PRODUCT in your possession, except Sound Content you may still use under Section 5. Termination ends the license in Section 5 only if it is for a material breach of Section 5 itself, and then only for works you make after that breach.

4. COPYRIGHT

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof (other than Your Works, as defined in Section 5) are owned by Acoustica, Inc. or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. The Sound Content is not such content; it is licensed to you in Section 5. All rights not expressly granted are reserved by Acoustica, Inc.

5. ROYALTY-FREE SOUND CONTENT (LOOPS, SAMPLES, INSTRUMENT SOUNDS AND PRESETS)

The SOFTWARE PRODUCT and every earlier version of Mixcraft include or included (including loops and samples they download from Acoustica, Inc. on demand), and the Mixcraft Store offers or has offered, audio loops, MIDI loops, samples, the sounds of the virtual instruments made by or for Acoustica, Inc., instrument and effect presets and similar sound content provided by Acoustica, Inc. ("Sound Content"). To the best of its knowledge, Acoustica, Inc. owns the Sound Content or is authorized by the owners of the Sound Content to grant this license. Sound Content is royalty-free. Acoustica, Inc. grants you a non-exclusive, worldwide, perpetual and irrevocable (except as stated in Section 3) license to use the Sound Content, whole or in part and modified or unmodified, as part of musical compositions, recordings, soundtracks, videos, podcasts, games and other productions that are original works created by you ("Your Works"), and to sell, license, stream, distribute, broadcast, perform and synchronize Your Works (for example with film, television, video, games or advertising), commercially or non-commercially, without paying any further fee or royalty to Acoustica, Inc. or its suppliers and, to the extent the law allows, without giving credit. Arranging Sound Content into a new composition you create counts as an original work under this license, but a work that consists only of one loop or sample repeated, even with minor changes, does not.

No further permission or clearance from Acoustica, Inc. or its suppliers is required. Acoustica, Inc. claims no ownership of Your Works and no share of the income from them. This license also extends, as a direct grant from Acoustica, Inc. on the same terms, to your co-authors, anyone for whom you create Your Works as an employee or contractor, distributors, labels, publishers, direct and indirect licensees (including stores, streaming services and other platforms), anyone who acquires rights in Your Works, and their successors and assigns, but only for Sound Content as part of Your Works. You may grant others the non-exclusive rights in Sound Content that they need to exploit Your Works, only as part of Your Works and subject to (a) to (c) below, and this license passes with any transfer of rights in Your Works. This license is granted to everyone who has lawfully obtained Sound Content with or for any version or edition of Mixcraft, including earlier versions and trial or evaluation versions, whether or not they accepted this version of the EULA, and, to the extent permitted by law, it replaces any other Acoustica, Inc. terms for the Sound Content, including those of earlier versions. The limits in (a) to (c) below are part of this license for everyone it is granted or extended to, and each person to whom it is granted by the previous sentence is "you" for the purposes of this Section. Anyone who uses Sound Content, or exploits Your Works, under this license accepts this Section 5, including (a) to (c), and Sections 6, 7 and 8 as a binding agreement with Acoustica, Inc., to the extent the law allows. This license does not include any act described in (a) to (c); such an act is outside this license, but does not by itself end the license for Your Works or for anyone else to whom it extends. Section 2 does not limit this license, Section 3 does not require you to destroy Your Works, and if this EULA is terminated you, and everyone this license extends to, may continue to use, sell, stream, distribute and otherwise exploit Your Works made in compliance with this Section (if the termination is for a material breach of this Section, only those made before that breach), and you may keep their stems and project files to edit, master and deliver those Works, subject to the limits in (a) to (c). You may present this EULA, with proof that you obtained the Sound Content (for example a Mixcraft or Mixcraft Store purchase receipt, or a record of your Mixcraft download), to a distributor, streaming service, publisher, music supervisor or other licensee or platform as evidence of your license to use the Sound Content.

Because this license is non-exclusive, other people may lawfully use the same Sound Content in their own works. A content identification match between Your Works and another person's work that uses the same Sound Content therefore does not by itself mean that either work infringes. Because this license is non-exclusive, you may not:

(a) sell, give away, sublicense or distribute the Sound Content by itself (including a single loop or sample released on its own, even with minor changes), or repackaged as loops, samples, sample libraries, sound sets or presets, or in any other form made to let others extract and reuse it (delivering stems, multitracks, alternate mixes, project files, or game or app audio files of Your Works to people who need them to produce, mix, edit, remix, synchronize or play Your Works is not such distribution, as long as the Sound Content is not offered or made available as a separate item, such files are not offered to the public as material for others to remix or reuse, and no one is permitted to use the Sound Content apart from Your Works);

(b) claim exclusive ownership of, or copyright in, the Sound Content itself, including by sending a takedown notice or other infringement claim against another person's work only because it contains the same Sound Content (registering Your Works with a copyright office, as long as you identify the Sound Content as licensed pre-existing material where that office requires it, or with a performing rights organization or collection society, is not such a claim); or

(c) register the Sound Content, or any of Your Works in which Sound Content can be heard in unaltered or only lightly altered form (for example changed only in tempo, pitch, level, EQ or reverb), with a content identification or audio fingerprinting system that claims or monetizes matching uses by others (for example YouTube Content ID, Meta Rights Manager for Facebook and Instagram, or a similar system at TikTok, SoundCloud or another platform), whether you do so directly or through a distributor (for example by choosing an option such as Content ID, YouTube monetization, social video monetization or Facebook and Instagram rights management). Releasing Your Works through stores and streaming services is not such registration, even if they fingerprint every release, as long as no option or delivery is used that lets a system claim, block, mute or collect revenue from other people's uploads that match Your Works; on some platforms (for example Facebook and Instagram) delivering Your Works to the platform's music library may do this, and some distributors offer these options separately for each platform. This Section does not itself permit any enrollment that the rules of the system or of your distributor do not allow.

Sounds and other content that come with their own third-party license terms (for example the sounds of a third-party plug-in, or a Store product whose product page or files include a separate third-party license) are not Sound Content, and their use is governed only by those terms. Sound Content does not include sounds that the SOFTWARE PRODUCT finds or downloads from third-party services such as Freesound.org; each of those sounds is licensed by its own author under the license shown with it (for example a Creative Commons license, which may require you to credit the author or forbid commercial use).

6. NO WARRANTIES

To the maximum extent permitted by applicable law, Acoustica, Inc. expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness for a particular purpose. Acoustica, Inc. does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the SOFTWARE PRODUCT. Acoustica, Inc. makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Acoustica, Inc. further expressly disclaims any warranty or representation to you or to any third party. Nothing in this Section limits the license granted in Section 5 or negates the good-faith statement in Section 5 about Acoustica, Inc.'s rights in the Sound Content, but that statement is not a warranty. Nothing in this EULA excludes, restricts or modifies any right, guarantee or remedy that the law where you live gives you and does not allow to be excluded, restricted or modified; for example, if you are a consumer in the European Union, the United Kingdom, Australia or another country whose law gives you these rights, they include your right to software that matches its description, is of satisfactory or acceptable quality and is fit for purpose, and to a remedy (such as repair, replacement, a price reduction or a refund) if it does not. If you are a consumer in Australia: Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. Some states and countries do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall Acoustica, Inc. be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) arising out of your use of or inability to use the SOFTWARE PRODUCT or the Sound Content, even if Acoustica, Inc. has been advised of the possibility of such damages. In no event will Acoustica, Inc. be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Acoustica, Inc. shall have no liability with respect to the content of the SOFTWARE PRODUCT or any part thereof, including but not limited to errors or omissions contained therein, libel, business interruption, or infringements of rights of publicity, trademark rights or moral rights. Nothing in this Section limits the license granted in Section 5. Nothing in this EULA excludes or limits liability for death or personal injury caused by negligence, for fraud, for intentional or grossly negligent conduct, or under product liability law, or any other liability that cannot be excluded or limited under applicable law.

8. LANGUAGE AND GENERAL TERMS

This EULA may be provided in other languages for your convenience. If a translation differs from the English version, the English version governs. If any provision of this EULA is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest of this EULA, including the license in Section 5, remains in effect. A failure to enforce any provision is not a waiver of it. Sections 4, 6, 7 and 8 survive termination of this EULA, and Section 5 survives it as stated in Sections 3 and 5. This EULA binds Acoustica, Inc.'s successors and assigns, and any transfer of Acoustica, Inc.'s rights in Sound Content will be made subject to the license in Section 5. No later version of this EULA will narrow the license in Section 5 for Sound Content obtained before that version is published.
